These Terms of Use apply to the CRS XML Builder website, software, licence keys, configuration files, XML generation services, and related support services.

1. Acceptance of Terms

By accessing the website, requesting a licence, using CRS XML Builder, submitting configuration information, or requesting assisted XML generation, you agree to these Terms of Use. If you do not agree with these terms, you should not use the website, software, or related services.

CRS XML Builder is a technical data transformation tool. It does not replace professional tax, legal, accounting, regulatory, or compliance advice.

2. Description of the Product

CRS XML Builder is designed to assist users in generating Common Reporting Standard (“CRS”) XML files from structured spreadsheet data, such as Excel or CSV files. The software may include configuration support, spreadsheet mapping, XML generation, and XML schema validation features.

The product is intended to support the technical preparation of XML files. It does not determine whether a reporting obligation exists, whether a person or entity is reportable, or whether the data supplied by the user is correct, complete, or legally sufficient.

3. Important Disclaimer

CRS XML Builder is a data transformation and XML generation tool designed to assist users in preparing CRS reporting files based on information supplied by the user.

The reporting entity is solely responsible for the accuracy, completeness, classification, aggregation, and validation of all source data used to generate CRS reports. The reporting entity must independently review and verify all generated XML files before submission to any tax authority, regulatory body, or reporting portal.

CRS XML Builder does not provide tax, legal, accounting, regulatory, or compliance advice and should not be relied upon as a substitute for professional advice.

While the software includes XML schema validation and data processing controls, no warranty is provided that generated files will be accepted by a tax authority or that they satisfy all reporting obligations applicable to a particular jurisdiction.

To the maximum extent permitted by law, CRS XML Builder and its licensors shall not be liable for any penalties, filing errors, rejected submissions, regulatory actions, loss of data, business interruption, or other damages arising from the use of the software or reliance on generated output.

4. User Responsibilities

You are responsible for providing accurate, complete, and properly structured information, including financial institution details, reporting period information, account-holder data, tax residence information, balances, payments, identifiers, and any other data required for CRS reporting.

You are also responsible for checking any generated XML file before submission and for confirming that it meets the requirements of the relevant tax authority, reporting portal, CRS schema version, local guidance, and applicable law.

5. No Professional Advice

Any documentation, examples, templates, mappings, website content, support communication, or generated output provided in connection with CRS XML Builder is for technical and informational purposes only. It should not be treated as tax, legal, accounting, regulatory, or compliance advice.

6. Licence and Permitted Use

Subject to payment of applicable fees and compliance with these Terms of Use, users are granted a limited, non-exclusive, non-transferable licence to use CRS XML Builder for their internal CRS reporting preparation workflows or for the agreed reporting volume and licence type.

You may not copy, resell, sublicense, reverse engineer, modify, distribute, or make the software available to third parties except where expressly agreed in writing.

7. Assisted XML Generation

Where assisted XML generation is requested, you remain responsible for the accuracy, completeness, and legality of all data supplied. Any XML file generated on your behalf must be reviewed and approved by you before submission.

8. Data Handling

Users should avoid submitting unnecessary personal data. Where files or sample spreadsheets are provided, they should be limited to the information required for configuration, mapping, testing, or XML generation. You are responsible for ensuring that you have the right to share any data supplied to us.

9. Validation and Acceptance by Authorities

CRS XML Builder may support CRS XML schema validation or other technical validation checks. These checks are intended to identify certain formatting or structural issues. They do not guarantee acceptance by any tax authority, regulator, or reporting portal, and they do not confirm that the content of the report is legally correct or complete.

10. Availability and Support

We aim to provide the website, software, licence support, and related services with reasonable care. However, we do not guarantee uninterrupted availability, error-free operation, compatibility with every system, or support for every spreadsheet format, tax authority requirement, or local reporting variation.

11. Updates and Changes

We may update the software, website, pricing, licence types, documentation, or these Terms of Use from time to time. Continued use of CRS XML Builder after changes are published or communicated constitutes acceptance of the updated terms.

12. Limitation of Liability

To the maximum extent permitted by law, CRS XML Builder, its owners, developers, suppliers, and licensors shall not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profits, loss of data, rejected submissions, penalties, regulatory action, business interruption, or costs of replacement services.

Where liability cannot be excluded under applicable law, liability shall be limited to the amount paid by the user for the relevant licence or service giving rise to the claim.

13. Intellectual Property

All intellectual property rights in CRS XML Builder, including software, website content, design, documentation, templates, mappings, branding, and related materials, remain owned by CRS XML Builder or its licensors unless otherwise stated.

14. Termination

We may suspend or terminate access to the software, licence, or services where a user breaches these Terms of Use, misuses the software, fails to pay applicable fees, attempts to reverse engineer or redistribute the software, or uses the product unlawfully.
